By accessing and using LaunchPad Market ("Platform," "Service," "we," "us," or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and LaunchPad Market, LLC. Your use of the Platform confirms your acceptance of these Terms and any updates we may make from time to time.

LaunchPad Market is an online marketplace that facilitates the buying and selling of digital businesses, including but not limited to:

• Software-as-a-Service (SaaS) applications
• E-commerce stores and websites
• Digital content businesses
• Mobile applications
• Online service businesses
• Other legitimate digital enterprises

We provide the platform, escrow services, security measures, and support tools to facilitate these transactions. We do not own, operate, or guarantee the businesses listed on our Platform.

3.1 Account Requirements

To use our Platform, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Complete identity verification as required
• Connect a valid payment method (for sellers)

3.2 Account Responsibilities

You are responsible for:

• All activities that occur under your account
• Keeping your contact information updated
• Immediately notifying us of unauthorized access
• Complying with all applicable laws and regulations

4.1 Permitted Businesses

You may list legitimate digital businesses that:

• Comply with all applicable laws
• Have verifiable revenue and ownership
• Include all necessary assets for operation
• Meet our quality and content standards

4.2 Prohibited Content

The following are strictly prohibited:

• Illegal businesses or activities
• Adult content or services
• Gambling, MLM, or pyramid schemes
• Fake or fraudulent businesses
• Stolen or infringing content
• Businesses involving regulated substances

5.1 Seller Obligations

• Provide accurate business information and financial data
• Include all promised assets in good working condition
• Respond to buyer inquiries within required timeframes
• Assist with business transfer for 30 days post-sale
• Maintain confidentiality of buyer information

5.2 Buyer Responsibilities

• Conduct thorough due diligence before purchasing
• Review all assets within the escrow period
• Communicate issues promptly and professionally
• Not share or redistribute purchased assets
• Use the Platform's dispute resolution process when needed

5.3 Transaction Process

All transactions follow this process:

1. Buyer submits purchase through our secure system
2. Payment is held in escrow for 72 hours
3. Seller provides access to all business assets
4. Buyer reviews and confirms satisfaction or reports issues
5. Funds are released after confirmation or timer expiration

• All payments processed through Stripe with standard processing fees
• Sellers must maintain valid Stripe Connect accounts
• Commission fees are automatically deducted from seller payments
• Payment disputes must be resolved through our platform

6.3 Refunds and Chargebacks

• Refunds are handled through our escrow and dispute system
• Unauthorized chargebacks may result in account suspension
• Commission fees are non-refundable except in cases of platform error

7.1 Escrow Protection

Our escrow system protects both buyers and sellers by holding payments securely until transaction conditions are met. The standard escrow period is 72 hours.

7.2 Release Conditions

Funds are released when:

• Buyer confirms satisfaction with the purchase
• 72-hour escrow period expires without issues
• Dispute resolution process concludes in seller's favor

7.3 Escrow Extensions

Buyers may request up to 2 extensions (24 hours each) for additional review time. Extensions must be requested before the current timer expires.

8.1 Platform Rights

LaunchPad Market retains all rights to our platform, technology, trademarks, and proprietary systems. Users are granted a limited license to use the platform for its intended purposes.

8.2 User Content

• Users retain ownership of their business listings and content
• Users grant us license to display and promote their listings
• Users must own or have rights to all content they upload
• Infringing content will be removed and may result in account suspension

8.3 Business Assets

Sellers must have clear ownership and transfer rights for all business assets. Buyers acquire assets subject to existing third-party agreements and licenses.

9.1 Service Limitations

• We facilitate transactions but do not participate in the actual sale
• Business performance claims are made by sellers, not LaunchPad Market
• We are not liable for business failures or losses after purchase
• Platform availability is not guaranteed and may be interrupted

9.2 Maximum Liability

Our total liability for any claim shall not exceed the commission fees paid by the user in the 12 months preceding the claim.

9.3 Indemnification

Users agree to indemnify and hold harmless LaunchPad Market from any claims, damages, or expenses arising from their use of the platform or violation of these Terms.

10.1 Acceptable Use

Users must:

• Provide truthful and accurate information
• Respect other users' rights and privacy
• Use the platform for legitimate business purposes only
• Comply with all applicable laws and regulations
• Report violations and suspicious activity

10.2 Prohibited Activities

The following activities are strictly forbidden:

• Fraudulent or deceptive practices
• Harassment, abuse, or threatening behavior
• Spam or unsolicited communications
• Attempting to bypass platform security measures
• Manipulating reviews or ratings
• Using the platform for money laundering or illegal activities

11.1 Voluntary Termination

Users may terminate their accounts at any time by contacting support. Active transactions will continue according to their terms.

11.2 Platform Termination Rights

We may suspend or terminate accounts for:

• Violation of these Terms or our policies
• Fraudulent or illegal activity
• Failure to meet verification requirements
• Repeated buyer or seller complaints
• Inactivity for extended periods

11.3 Effect of Termination

• Active listings will be removed
• Pending transactions will be handled case-by-case
• Access to platform features will be revoked
• Data retention subject to our Privacy Policy

12.1 Platform Mediation

All disputes between users should first be addressed through our platform's dispute resolution system. We will investigate and mediate resolution attempts.

12.2 Binding Arbitration

Disputes that cannot be resolved through platform mediation will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

12.3 Class Action Waiver

Users waive the right to participate in class action lawsuits against LaunchPad Market. All disputes must be resolved individually.

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and LaunchPad Market.
